Overview
We are hiring our first dedicated corporate paralegal to assist our clients and attorneys on a wide variety of transactions and compliance matters. The Firm
Cedar Grove LLP is a mission-driven law firm helping good people build good organizations. With deep ties to Stanford University, Y Combinator, and the Silicon Valley startup community, we advise for-profit and nonprofit organizations throughout their life cycle on (i) corporate legal matters (e.g., fundraising and equity issuance), (ii) employment (e.g., hiring and firing), (iii) commercial (e.g., compliance and customer contracts), and (iv) operations and strategy. We are growing very quickly.

Role and Location
This is a full-time role for a Corporate Paralegal. All team members work remotely, with quarterly off-sites, typically Thursday - Saturday in January, April, July, and October.
Responsabilities
Form and maintain DE C-corps, LLCs, and subsidiaries — including bylaws, operating agreements, qualifications, annual reports, and franchise taxes
Own cap table management in Carta & pulley — option grants, board consents, 83(b) letters, early exercises, and stock issuances
Manage financings from seed through Series B+: closing checklists, signature packets, NVCA documents, blue sky, and Form D filings
Draft board and stockholder consents; maintain minute books, data rooms, and equity/vesting schedules
Support M&A and secondary transactions — data room management, diligence summaries, and disclosure schedules
Maintain and improve firm templates, workflows, automations, and processes, improving consistency and efficiency at every level
Background and Experience
3+ years in corporate EC/VC practice
Fluent with Carta
Familiarity with standard startup form documents
Excellent drafting and organizational skills
Ability to manage multiple closings simultaneously
Proactive, client-service oriented mindset
Preferred:
At least two years of experience at Gunderson, Cooley, Fenwick, Wilson Sonsini, Goodwin, Orrick, or similar.
Demonstrated interest in mission-driven work, particularly in health, climate, or sustainability sectors.

80% and 60% arrangements are available
